Terms of Service

Welcome to Phoenix Ecommerce Technologies, Inc. ("Phoenix," "we," "us," or "our"). By registering for a Phoenix account or using any of our services, you agree to be bound by the following Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our platform or services.

As used in these Terms, "you" or "User" refers to you, whether as an individual or as a business entity. "Services" refers to all products and features offered by Phoenix, including but not limited to our checkout builder, payment processing solutions, subscription management, chargeback protection tools, CRM integrations, and analytics.

1. Eligibility

You must be at least 18 years old and have the legal authority to enter into this agreement on behalf of yourself or your business to use our Services. By using our Services, you represent and warrant that you meet these requirements.

2. Your Account

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify Phoenix immediately of any unauthorized use of your account at sales@phoenixtechnologies.io.

3. Use of Services

You agree to use our Services only for lawful purposes and in compliance with all applicable laws and regulations. You agree not to use our Services to facilitate fraud, money laundering, or any activity that violates card network rules (Visa, Mastercard, etc.), Adyen policies, or applicable merchant processing agreements. Prohibited uses are described in detail in our Acceptable Use Policy.

4. Content Responsibility

You are responsible for all content, products, offers, and data used in connection with our Services, including product descriptions, pricing, images, and customer data. You represent that you have all necessary rights to use such content and that it does not violate any third-party rights or applicable law.

5. Payment and Billing

All fees for Phoenix Services are due as specified in your service agreement. Service fees are non-refundable unless otherwise agreed in writing. Phoenix reserves the right to suspend or terminate your account for non-payment. You agree to maintain a valid payment method on file.

6. Payment Processing

Phoenix integrates with and facilitates access to third-party payment processors and merchant account providers. By using these integrations, you agree to the respective terms of those providers. Phoenix is not responsible for errors, holds, or account actions taken by third-party processors.

7. Intellectual Property

Phoenix retains all rights, title, and interest in and to its platform, software, trademarks, and proprietary content. You retain ownership of your own content and data. You grant Phoenix a non-exclusive, royalty-free license to use, display, and process your content solely as necessary to provide the Services.

8. Confidentiality

You agree not to reverse-engineer, replicate, or redistribute Phoenix's technology or platform for any competing purpose during the term of your agreement with Phoenix and for two (2) years thereafter.

9. Termination

Phoenix reserves the right to suspend or terminate your account at any time for violation of these Terms or our Acceptable Use Policy, with or without notice. Upon termination, you will lose access to all Services and your outstanding balance must be paid in full.

10. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, express or implied. Phoenix does not warrant that the Services will be uninterrupted, error-free, or secure.

11. Limitation of Liability

To the fullest extent permitted by applicable law, Phoenix will not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, arising from your use of the Services.

12. Indemnification

You agree to indemnify and hold Phoenix, its officers, directors, employees, and agents harmless from any claims, damages, liabilities, or expenses (including attorney's fees) arising from your use of the Services or your violation of these Terms.

13. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

14. Changes to These Terms

Phoenix reserves the right to modify these Terms at any time. We will notify you of significant changes via email. Continued use of the Services following any modification constitutes acceptance of the updated Terms.
